Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and The Leo King, Inc. ("SpiritDial," "we," "us," or "our") governing SpiritDial.ai, Lady Avalon Live, our mobile and ChatGPT applications, subscriptions, credits, generated media, and related websites, software, content, and services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility; Users Ages 13 Through 17

• The Services are intended for a general audience age 13 and older. They are not directed to children under 13.
• You may not use the Services if you are under 13. If the minimum lawful age to use an online service without parental consent is higher where you live, that higher age applies.
• If you are 13 through 17, you may use the Services only with the permission and active supervision of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf.
• When SpiritDial is used through ChatGPT, users ages 13 through 17 must also have the consent required by OpenAI and must comply with OpenAI’s applicable terms, safeguards, and age restrictions.
• By allowing a minor to use the Services, the parent or guardian accepts responsibility for the minor’s activity, purchases, content, and compliance with these Terms. Only an adult may authorize a purchase unless applicable law expressly permits otherwise.
• You represent that the age and other eligibility information you provide is truthful. We may request age or consent confirmation, restrict features, suspend access, or close an account when reasonably necessary for safety or legal compliance.

2. Important Nature of the Services

SpiritDial provides AI-generated spiritual entertainment, creative reflection, astrology, tarot, psychic-style readings, simulated conversation, voice, avatar, and generated-image experiences. Lady Avalon is an AI persona, not a human psychic, licensed professional, emergency responder, or sentient being. Readings, predictions, interpretations, images, voices, and other outputs may be fictional, symbolic, incomplete, inaccurate, offensive, unexpected, or unsuitable for a particular person. No outcome, event, relationship, contact with a deceased person, supernatural ability, or factual accuracy is promised or guaranteed.

3. No Professional Advice; No Emergency or Crisis Use

• The Services are for entertainment and general informational purposes only and are not medical, mental-health, therapeutic, legal, financial, investment, tax, educational, law-enforcement, or other professional advice.
• Do not use or rely on the Services to diagnose or treat a condition, make medication decisions, assess abuse or danger, make high-impact financial or legal decisions, or replace a qualified professional.
• The Services are not an emergency, crisis, suicide-prevention, abuse-reporting, or safety-monitoring service. If you or someone else may be in immediate danger, contact local emergency services or a qualified crisis resource now.
• You remain solely responsible for your decisions, actions, relationships, purchases, and results. Seek help from a trusted adult and an appropriate qualified professional when a situation involves health, safety, abuse, self-harm, legal rights, money, or another serious consequence.

4. Accounts and Security

You must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You may not share, sell, transfer, or provide access to your account. You are responsible for activity under your account to the extent permitted by law. We may reject usernames, require reauthentication, and take reasonable steps to protect the Services and other users.

5. Limited License

Subject to these Terms, we grant you a limited, revocable, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for lawful, noncommercial personal use. No rights are granted except as expressly stated. We may modify, suspend, limit, or discontinue any feature or the Services at any time, subject to applicable law.

6. Your Content and Permissions

• You retain any rights you have in prompts, messages, voice recordings, photographs, birth information, feedback, and other materials you submit ("User Content").
• You grant us and our service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, analyze, transform, display, and otherwise process User Content only as reasonably necessary to operate, secure, support, troubleshoot, and improve the Services, comply with law, and enforce these Terms.
• If you intentionally use a public share feature, you also authorize us to make the selected content and associated generated output publicly available until you disable sharing or the content is removed. Anyone with a share link may be able to view or redistribute it.
• You represent that you own or have all permissions needed for User Content and that it does not violate law or anyone’s privacy, publicity, intellectual-property, or other rights.
• Do not submit confidential professional records, government identifiers, payment-card details, precise real-time location, intimate images, or another person’s private information. Do not upload an image, video, or voice recording of a minor or third party without all legally required permission.

7. AI Outputs

• AI output is probabilistic and may be wrong, repetitive, incomplete, or similar to output provided to others. You must independently evaluate it before relying on, publishing, or sharing it.
• We do not represent that an output is unique, protectable by intellectual-property law, non-infringing, or fit for a particular purpose.
• Subject to applicable law and third-party rights, we do not claim ownership of output generated specifically for you. Your use of output remains at your own risk and must comply with these Terms and applicable platform rules.
• You may not represent AI output as professional advice, verified fact, or a genuine communication from a deceased person or other third party.

8. Prohibited Conduct

You may not use the Services to:

• violate law, platform rules, sanctions, export controls, or another person’s rights;
• exploit, groom, sexualize, endanger, impersonate, or solicit personal information from a minor;
• create or distribute child sexual abuse material, non-consensual intimate imagery, sexual content involving minors, or content facilitating abuse, self-harm, violence, stalking, fraud, or illegal activity;
• harass, threaten, defame, discriminate, invade privacy, deceive, or manipulate another person;
• make automated high-impact decisions about employment, housing, credit, education, insurance, legal services, healthcare, or a person’s eligibility or rights;
• probe, scan, bypass, reverse engineer, scrape, overload, disrupt, or gain unauthorized access to the Services, accounts, safeguards, models, prompts, rate limits, billing, or networks;
• introduce malicious code, automate abusive requests, resell the Services, or use outputs or access to build or train a competing model or service except where applicable law prohibits this restriction; or
• submit content you do not have the right to submit or misrepresent the origin, authenticity, or endorsement of content.

9. Subscriptions, Credits, Digital Goods, and Refunds

• Prices, features, credit costs, included usage, taxes, and renewal periods are shown at purchase and may change prospectively.
• Subscriptions automatically renew until canceled through the applicable billing portal or app marketplace. Cancellation stops future renewals but ordinarily remains effective through the paid billing period.
• By purchasing, you authorize us and the applicable payment provider to charge the displayed amount and recurring amounts, if any, using your selected payment method.
• Credits, included minutes, generated content, and other digital goods have no cash value, are non-transferable, and are non-refundable once delivered or consumed, except where required by law or the governing marketplace rules.
• Lady Avalon Live uses included minutes first and then credit overage at the rate disclosed in the product. Started minutes may round up as disclosed at purchase.
• We may correct pricing or fulfillment errors, reject suspected fraud, and suspend access for failed, reversed, or disputed payments. Statutory cancellation or refund rights are not waived.

10. Lady Avalon Live and Service Availability

• Live-avatar capacity is limited. Queues, positions, estimated wait times, connection quality, and availability are estimates and are not guaranteed.
• Live sessions are ordinarily capped at 10 minutes and may end earlier because of disconnection, safety controls, platform limits, maintenance, suspected misuse, or circumstances outside our control.
• We may use a voice fallback or change, replace, remove, delay, or discontinue content, models, voices, avatars, features, schedules, promotions, or providers without liability, subject to applicable law.

11. Third-Party Services and ChatGPT

The Services depend on third-party platforms and processors, including AI, identity, hosting, analytics, payment, communications, voice, video, astrology, and app-marketplace providers. Their terms and privacy practices may also apply. When you access SpiritDial through ChatGPT, OpenAI operates the ChatGPT platform and may process your account, prompts, and app interactions under OpenAI’s terms and privacy policy. SpiritDial is independently provided by The Leo King, Inc. and is not sponsored, endorsed, or warranted by OpenAI. We are not responsible for third-party outages, changes, content, security, or acts beyond our reasonable control.

12. SpiritDial Intellectual Property

The Services, software, designs, audiovisual material, prompts, personas, characters, trademarks, logos, and other content supplied by SpiritDial or its licensors are protected by intellectual-property and other laws. SpiritDial, Lady Avalon, and associated branding may not be copied, modified, distributed, publicly displayed, used to create derivative services, or used to imply endorsement without prior written permission. All rights not expressly granted are reserved.

13. Feedback

If you voluntarily provide ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

14. Copyright Complaints

A copyright owner or authorized agent may send a notice identifying the copyrighted work, the allegedly infringing material and its location, contact information, a good-faith statement, a statement under penalty of perjury that the notice is accurate and authorized, and a physical or electronic signature to the contact in Section 24. We may remove content and terminate repeat infringers where appropriate. Misrepresentations in a notice may create liability.

15. Privacy

Our Privacy Policy describes how we collect, use, disclose, and retain personal information, including special information for teens, parents, voice and avatar features, public sharing, and ChatGPT app use.

16. Suspension and Termination

You may stop using the Services at any time. We may investigate, limit, suspend, or terminate access, remove content, preserve evidence, or cooperate with authorities when we reasonably believe it is necessary to protect a person, the Services, our rights, or comply with law. Termination does not erase payment obligations or provisions that by their nature should survive, including ownership, licenses already granted, disclaimers, liability limits, indemnification, and dispute terms.

17. Changes to the Services or These Terms

We may update these Terms. We will post the revised date and provide additional notice when required by law. Material changes apply prospectively. Continuing to use the Services after the effective date means you accept the revised Terms; if you do not agree, you must stop using the Services.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. SPIRITDIAL AND ITS AFFILIATES, LICENSORS, AND PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SAFE, ACCURATE, AGE-APPROPRIATE IN EVERY INSTANCE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY READING, PREDICTION, OUTPUT, OR RESULT WILL OCCUR. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIRITDIAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE; PERSONAL DECISIONS OR RELATIONSHIP OUTCOMES; EMOTIONAL DISTRESS; OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO SPIRITDIAL FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR US$100. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SpiritDial and its affiliates, officers, directors, employees, agents, licensors, and providers from claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys’ fees arising from your User Content, misuse of the Services, violation of these Terms or law, or infringement of another person’s rights. If you are a minor, this provision applies to your parent or guardian to the extent enforceable. We may control the defense of any covered matter, and you agree to cooperate.

21. Informal Resolution and Binding Arbitration

Please read this section carefully. It affects your right to a jury trial and to participate in a class action. Before filing a claim, the complaining party must send a written notice describing the dispute and requested relief to the contact in Section 24 and allow 30 days for a good-faith resolution. Except for an individual small-claims case, a request for public injunctive relief where applicable law requires court review, or an action to protect intellectual property or prevent unauthorized access, any dispute arising from these Terms or the Services will be resolved by individual binding arbitration under the Federal Arbitration Act and the JAMS Streamlined Arbitration Rules before one arbitrator. Arbitration may occur by video, telephone, written submissions, or in Orange County, California, as the arbitrator determines consistent with applicable consumer law. The arbitrator may award the same individual remedies as a court, but no claim may be arbitrated on a class, collective, consolidated, or representative basis. If the class-action waiver is held unenforceable for a particular claim, that claim must proceed in court and the remaining claims remain in arbitration. You may opt out of arbitration by emailing support@spiritdial.ai with the subject "Arbitration Opt-Out" within 30 days after first accepting these Terms and including your name, account email, and an unambiguous request to opt out.

22. Governing Law and Venue

The Federal Arbitration Act governs Section 21. Otherwise, California law governs without regard to conflict-of-law principles. Any dispute not subject to arbitration must be brought exclusively in the state or federal courts located in Orange County, California, and each party consents to jurisdiction there, except where applicable consumer law requires another forum.

23. International Use and Miscellaneous

The Services are operated from the United States. You are responsible for compliance with local law. These Terms and incorporated policies are the entire agreement about the Services. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder stays effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, sale, or transfer of the Services. We are not liable for delay or failure caused by events beyond reasonable control. Headings are for convenience only.
